These Terms and Conditions (“Terms”) govern all interactions, quotations, orders, sales, and sourcing agreements between BMS (Bhatiary Marine Sourcing) Spares Hub (“BMS”, “Seller”, “we”) and any buyer, client, or user (“Buyer”, “you”) who engages with BMS through our website, email, WhatsApp, or any other channel. By placing an inquiry or order with BMS, you confirm acceptance of these Terms in full.
1. General
- BMS Spares Hub is a B2B marine spare parts sourcing company registered and operating in Bangladesh.
- These Terms apply to all domestic (Bangladesh) and international transactions.
- BMS reserves the right to modify these Terms at any time. The current version published on www.bmsspareshub.com governs all transactions.
- If any provision of these Terms is found to be invalid, the remaining provisions remain in full force and effect.
2. Quotations & Pricing
- All quotations issued by BMS are valid for a period of seven (7) days from the date of issue unless otherwise stated.
- Prices quoted are in USD (United States Dollars) unless specifically agreed otherwise.
- Prices are based on the condition, quantity, and availability at the time of quotation and may be subject to change without notice if any of these factors change.
- BMS quotations are Ex-Works (EXW) Chittagong unless a specific Incoterm is agreed in writing.
- VAT, customs duties, freight charges, and import taxes are not included in the quoted price unless explicitly stated.
- BMS is not liable for price discrepancies arising from currency fluctuation between quotation and payment.
3. Orders & Order Confirmation
- An order is only confirmed upon BMS issuing a written Order Confirmation and receipt of any required advance payment.
- BMS reserves the right to decline any order at its sole discretion, particularly if the requested parts cannot be sourced to the required specification or quality standard.
- The Buyer is responsible for ensuring that all technical specifications, part numbers, vessel details, and delivery requirements are accurately communicated at the time of order.
- BMS shall not be liable for incorrect parts supplied as a result of inaccurate or incomplete information provided by the Buyer.
4. Payment Terms
- Standard payment terms: 50% advance payment upon order confirmation, 50% balance before dispatch, unless otherwise agreed in writing.
- Accepted payment methods: Bank Transfer (TT), LC at Sight, or other methods as mutually agreed.
- BMS does not accept personal cheques from overseas buyers.
- All bank charges and transfer fees are to be borne by the Buyer.
- Title and ownership of goods remain with BMS until full payment is received.
- Late payments may be subject to interest at a rate of 2% per month on outstanding balances.
5. Product Condition & Quality
- BMS supplies both NEW parts (unused, original or equivalent) and RECONDITIONED parts (used, professionally inspected, cleaned, repaired, and tested).
- The condition of each part (new or reconditioned) is clearly stated in the quotation and invoice. Buyers must confirm they have reviewed and accepted the stated condition.
- BMS carries out visual inspection and basic functional checks on all reconditioned parts before dispatch. BMS does not guarantee engine performance post-installation.
- Parts sourced from ship recycling yards are sold “as-is” with the best condition assessment available at the time of inspection.
- BMS does not supply FAKE, COUNTERFEIT, or SUBSTANDARD parts. Any such claim must be supported with documentation within 14 days of receipt.
6. Shipping, Delivery & Risk
- Delivery timelines stated by BMS are estimates and not guarantees. BMS is not liable for delays caused by port congestion, customs clearance, freight carrier delays, or force majeure events.
- Risk of loss and damage passes to the Buyer upon handover to the freight carrier (unless DDP terms are specifically agreed).
- BMS will provide export documentation including Commercial Invoice, Packing List, and Certificate of Origin. Additional certification (e.g., inspection certificates) must be requested and may incur additional charges.
- BMS is not responsible for import duties, customs clearance, or port handling charges in the Buyer’s country.
- Buyers are encouraged to obtain adequate marine cargo insurance for all shipments.
7. Returns & Claims
- Claims for damaged, incorrect, or missing items must be submitted in writing to bmsspareshub@gmail.com within fourteen (14) days of receipt of goods.
- Claims must include: Invoice number, photographic evidence of the issue, part number, and a written description of the defect.
- BMS will review all claims within 7 business days and propose a resolution (replacement, credit note, or partial refund), at BMS’s sole discretion.
- Parts that have been installed, modified, or damaged after receipt are not eligible for return or claim.
- No returns are accepted without prior written authorization from BMS.
8. Warranty
BMS does not provide any express warranty on reconditioned parts beyond the inspection and condition assessment stated at the time of sale. New parts carry only the original manufacturer’s warranty where applicable. BMS’s liability under any warranty claim shall not exceed the invoice value of the specific part in question. BMS is not liable for any consequential losses, including vessel downtime, lost voyage, crew costs, or hire loss.
9. Limitation of Liability
To the maximum extent permitted by applicable law, BMS Spares Hub shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with any order, including but not limited to: loss of profit, loss of revenue, vessel off-hire, damage to machinery caused by parts supplied, or business interruption. BMS’s total liability for any claim shall in no event exceed the total invoice value paid by the Buyer for the specific goods giving rise to the claim.
10. Export Compliance
All exports by BMS Spares Hub are conducted in compliance with Bangladesh export regulations and international trade laws. The Buyer is responsible for ensuring that the importation of goods into their country complies with all applicable local laws, regulations, and licensing requirements. BMS shall not be liable for any penalties, fines, or losses resulting from the Buyer’s failure to comply with import regulations.
11. Intellectual Property
All content on www.bmsspareshub.com — including text, images, logos, product descriptions, and graphics — is the intellectual property of BMS Spares Hub and may not be copied, reproduced, or used without prior written permission. Third-party brand names and engine manufacturer names referenced on our website are used for identification purposes only and do not imply any affiliation or endorsement.
12. Force Majeure
BMS Spares Hub shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including natural disasters, government actions, port strikes, pandemics, supply chain disruptions, or other force majeure events. BMS will notify the Buyer as soon as practicable of any such event and its anticipated impact on order fulfilment.
13. Governing Law & Dispute Resolution
These Terms and Conditions shall be governed by and construed in accordance with the laws of the People’s Republic of Bangladesh. Any dispute arising from or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within thirty (30) days, disputes shall be submitted to the exclusive jurisdiction of the courts of Chittagong, Bangladesh.
